OFFER AGREEMENT PUBLIC OFFER AGREEMENT FOR THE SALE OF GOODS BY DISTANCE SALE/VIA AN ONLINE STORE

1. Key terms and definitions: 1.1. Seller – Alexander Sergeyevich Larin, TIN 623201055974;
1.2. Public Offer – a public proposal by the Seller, addressed to an indefinite group of persons, to conclude a contract for the sale of goods by distance means (hereinafter referred to as the ‘Contract’);
1.3. Buyer – a natural person using software to view content on the Internet, who accepts the terms of this Contract and expresses a desire to purchase goods, details of which are posted on the website alexandersecret.shop;
1.4. Goods – products manufactured in Russia, namely clothing and accessories offered for sale on the website alexandersecret.shop;
1.5. Online Shop – a website located at alexandersecret.shop, on which any Buyer may view the Goods on offer, their descriptions and prices, select a specific Good and payment method, and place and submit an Order to the Seller;
1.6. Order – a formal request by the Buyer to purchase, pay for and have delivered a Product selected on the website alexandersecret.shop, sent to the Seller via the Internet;
1.7. Delivery Service – CDEK https://www.cdek.ru/ru/;
1.8. Website – the Seller’s website on the Internet, located at alexandersecret.shop.
1.9. Pre-order – (advance order) – is an expression by the Buyer of their intention to purchase/reserve a specific Product, with subsequent payment to be made within the timeframes specified in this Agreement. If a Product is marked ‘Pre-order’, this means that the Product is currently out of stock but is available for reservation. The dispatch dates for Products in the ‘Pre-order’ category are determined on a case-by-case basis and communicated to the Buyer by email to the address provided by the Buyer, as well as via a mass notification on the Seller’s official social media pages; delivery of such a Product shall in any case take place no earlier than 21 (twenty-one) days from the date of payment for the Goods by the Buyer. In this regard, the Buyer agrees that the Seller has the right to deliver the Goods via the Russian state postal network, Pochta Rossii (pochta.ru, www.cdek.ru), at an earlier date. Pre-orders may be returned in accordance with the general rules for returning Goods, namely after receipt of the Goods, by writing and sending a Return Request to the Seller, provided that the Seller is given prior notice by writing a message/notification regarding the need for a return, using the available means of communication, namely the address of the official page of the Online Shop/ offline shop on social media.

2. General Provisions
2.1. By ordering Goods on the alexandersecret.shop website, the Buyer agrees to and accepts the above terms and conditions of sale.
2.2. These terms and conditions of sale of the Goods, as well as the information about the Goods presented on the website alexandersecret.shop, constitute a public offer in accordance with Article 435 and paragraph 2 of Article 437 of the Civil Code of the Russian Federation.
2.3. The Seller reserves the right to make amendments and additions to this Agreement, available at alexandersecret.shop, and such amendments shall come into force from the date of their publication on the Seller’s website. The Buyer undertakes to monitor any amendments and additions made to this Agreement. The most current version of the Agreement is the version published on the Seller’s website.
2.4. By clicking the ‘Place Order’ button when placing an Order on the website, the User confirms their agreement to the terms and conditions of sale of the Goods set out in this Agreement and, at the same time, consents to the processing of personal data provided when placing the Order.
2.5. This Agreement shall be deemed concluded from the moment the Seller issues/sends the Buyer a receipt confirming full payment for the goods, or from the moment the Seller receives notification of the Buyer’s intention to purchase the goods by clicking the “Place Order” button.

3. Subject matter of the contract
3.1. The Seller offers any individual the opportunity to purchase, for personal, family or other needs not related to the Buyer’s business activities, the Goods presented on the website alexandersecret.shop
3.2. This Contract applies to all types of Goods presented on the website alexandersecret.shop, provided that such offers with descriptions are present in the website’s catalogue.

4. Ordering Procedure
4.1. The Buyer places an Order in the Online Shop independently. When placing an Order, the Buyer completes the electronic Order form and submits the completed Order to the Seller via the website system.
4.2. When registering on the Online Shop’s website, the Buyer undertakes to provide the following registration details:
4.2.1. the surname, first name and patronymic of the Buyer or the person specified by them (the recipient);
4.2.2. the address to which the Goods are to be delivered (if delivery is to the Buyer’s address);
4.2.3. email address;
4.2.4. contact telephone number.
4.3. The name, quantity, range and price of the Goods selected by the Buyer are specified in the Buyer’s basket on the Online Shop’s website.
4.4. The Seller shall not be liable for the content and accuracy of the information provided by the Buyer when placing the Order.
4.5. The Buyer shall be responsible for the accuracy of the information provided when placing the Order.
4.6. The descriptions and specifications of the Goods in the Online Shop contain basic and accurate information about the Goods.
4.7. For any queries regarding the properties and specifications of the Goods, the Buyer may contact the Seller by sending a message to the administrator of the Seller’s official page on the social network www.vk.com – https://vk.com/secretstationstore.
4.8. The photographs of the Product displayed on the website alexandersecret.shop were taken under specialised lighting conditions using professional equipment; they are merely illustrative and may differ from the actual appearance of the Product under different viewing conditions.
4.9. The price of the Product is indicated on the website alexandersecret.shop next to the image of the Product.
4.10. The Buyer may receive the Product via CDEK delivery https://www.cdek.ru/ru/.
4.11. Delivery of the Product is carried out by agreement between the Buyer and the Seller via the CDEK delivery service https://www.cdek.ru/ru/. The delivery time for the Goods to the Buyer consists of the order processing time and the delivery time.
4.12. Payment of the full delivery cost is borne by the Buyer.
4.13. The sale of the Goods is subject to 100% (one hundred per cent) prepayment of the cost of the Goods.
4.14. Payment is made via the payment system on the website within 30 (thirty) minutes of placing the Order, or in the Seller’s physical stores by visiting the physical store in person within 3 (three) days of placing the Order.
4.15. Upon placing an order, the Buyer will be provided with information via an email sent to the email address provided by the Buyer; the Buyer may also subscribe to the notification service on the Russian Post website, pochta.ru. or CDEK. The delivery time for the Goods may be changed by the Seller, of which the Buyer will be notified via an email sent to the email address provided by the Buyer, as well as through a mass notification on the Seller’s official page on the social network www.vk.com – https://vk.com/secretstationstore
4.16. The Buyer receives a notification regarding the order status via email; additionally, the Buyer may subscribe to the notification service on the Russian Post website (pochta.ru) or CDEK.
4.17. Goods may also be purchased via pre-order; the shipping dates for Goods purchased via pre-order are determined individually and communicated to the Buyer via a mass notification on the official page of the Online Store/Offline Store on social media.
4.18. Products with an estimated shipping time of more than 4 weeks are considered custom-made, which excludes the possibility of a return in accordance with paragraph 4 of Article 26.1 of the Russian Federation Law “On the Protection of Consumer Rights.”
4.19. Some items on the Website are available only by pre-order. This means that their production is initiated exclusively for the Buyer’s specific order—taking into account the selected model, size, color, and other parameters specified during checkout.
4.20. By placing a pre-order and making payment, the Buyer confirms that they are aware that such goods are manufactured specifically for them and agrees to consider them equivalent to custom-made goods within the meaning of paragraph 4 of Article 26.1 of the Law of the Russian Federation “On the Protection of Consumer Rights.”
4.21. Accordingly, pre-ordered goods are not subject to return or exchange, except in cases of identified manufacturing defects

5. Price of the Goods and Payment Methods
5.1. The price of the Goods presented on the alexandersecret.shop website is indicated in rubles.
5.2. The price of the Goods on the alexandersecret.shop website may be changed by the Seller unilaterally. However, the price of the Goods ordered by the Buyer is not subject to change, except in the cases specified in clause 5.3.
5.3. The Seller has the right to offer discounts on the price of the Product in accordance with promotional offers valid in the online store at the time the Order is placed. If the Buyer provides inaccurate (erroneous) information when placing the Order, the Seller has the right to recalculate the amount of the discount applied to the price of the Product upon delivery and payment.
5.4. Payment for the Goods shall be made by any method available to the Buyer:
5.4.1. By bank card when placing an Order on the website using a payment system, no later than 30 (thirty) minutes from the time the Order is placed;
5.4.2 By credit card via a bank terminal (POS terminal) at the Seller’s brick-and-mortar stores by visiting the store in person within 3 (three) days of placing the Order;
5.4. Delivery payment is made by the Buyer via bank card when placing the Order on the website using the payment system.
5.5. If payment for the Goods is not made within the timeframes specified in subclauses 5.4.1–5.4.3, the Order is automatically canceled.
5.6. If the Buyer refuses the Goods, upon refunding the full amount paid by the Buyer, the Seller shall not reimburse any bank or other fees paid by the Buyer in connection therewith.

6. Warranty, Order Cancellation, Return of Goods, and Prepayment
6.1. The warranty period for the Goods is 7 (seven) days, calculated from the date of delivery of the Goods to the Buyer.
6.2. The warranty applies only to manufacturing defects and does not apply to defects resulting from: mechanical damage (scratches, tears, scuffs, etc.); exposure to extreme temperatures, solvents, acids, or water; improper use (operation); or natural wear and tear.
6.3. Order Cancellation Procedure:
6.3.1. If full payment for the Order is not received within the timeframes specified in clauses 5.4.1. – 5.4.3., the Order is automatically canceled.
6.3.2. To cancel the Order immediately, the Buyer must contact the Seller by sending a message to the administrator of the Seller’s official page on the social network www.vk.com – https://vk.com/secretstationstore.
6.3.3. The sales contract is deemed automatically terminated if full payment for the Order is not received, as well as in the case provided for in Section 6.3.2.
6.4. Funds paid by the Buyer via a bank card using an electronic payment method shall be refunded within 30 (thirty) business days from the date the Buyer cancels the Order or terminates the contract to the same personal account or bank card used to pay for the Order. Refunds for the Order paid for by other means of payment (clauses 5.4.1–5.4.3 of this Agreement) shall be made within 5 (five) business days from the date the Buyer submits the relevant request to the Seller’s store where the payment was made.
6.5. Goods of satisfactory quality received by the Buyer are not subject to exchange or return.
6.6. In the event of a manufacturing defect, the Buyer undertakes to confirm this fact through an expert examination; if the examination confirms the defect, the Goods may be returned no later than 7 (seven) days from the date of purchase of such Goods by the Buyer.

7. Liability
7.1. The Parties shall be liable for non-performance or improper performance of their obligations under the Agreement in accordance with the current legislation of the Russian Federation.
7.2. The Seller’s aggregate liability under this Agreement is limited to the amount of the payment made by the Buyer under the Agreement.
7.3. Without prejudice to the foregoing, the Seller shall be exempt from liability for breach of the terms of the Agreement if such breach is caused by force majeure, including: actions of government authorities (including the adoption of legal acts), fire, flood, earthquake, other natural disasters, power outages and/or computer network failures, strikes, civil unrest, riots, and any other circumstances, not limited to those listed, that may affect the Seller’s performance of the Agreement.

8. Other Terms
8.1. The Buyer agrees to the processing of personal data by accepting the Privacy Policy posted on the website.
8.2. The alexandersecret.shop website and the services provided may be temporarily partially or completely unavailable due to maintenance or other work, or for any other technical reasons.
8.3. In the event of questions or complaints from the Buyer, the Buyer has the right to contact the Seller by sending a message to the administrator of the Seller’s official page on the social network www.vk.com – https://vk.com/secretstationstore. The parties shall endeavor to resolve any disputes through negotiation; if no agreement is reached, the dispute shall be resolved in court.
